1. Parties & Agreement

This agreement is between OmniServe Texas LLC ("Company," "we," "us," or "our"), a Texas limited liability company located in Houston, Texas, and you ("Customer," "you," or "your").

By creating an account, clicking "I Agree," entering payment information, or using OmniBot in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are using OmniBot on behalf of a business entity, you represent that you have authority to bind that entity to these terms.

2. Service Description

OmniBot is a Software-as-a-Service (SaaS) AI-powered chat assistant platform that allows businesses to deploy conversational AI on their websites. OmniBot is powered by the Anthropic Claude AI API and provides:

Important: OmniBot is a tool to automate client communications. It does not provide legal, medical, financial, or professional advice. The accuracy of AI responses depends on the information you provide during setup.

3. Free Trial Terms

7-Day Free Trial: OmniBot offers a 7-day free trial for new customers. Your credit card is collected at signup but will NOT be charged until your trial period ends.

4. Payment & Billing

OmniBot subscriptions are billed on a recurring monthly or annual basis. By providing payment information, you authorize OmniServe Texas LLC to charge your payment method automatically.

Payments are processed securely by Stripe, Inc. OmniServe Texas LLC does not store your full credit card information. By using our payment services, you also agree to Stripe's Terms of Service at stripe.com/legal.

5. Cancellation & Refunds

To cancel: Visit your dashboard → Billing → Cancel Subscription, or email info@omniservetexas.com with "Cancel Subscription" in the subject line.

6. Acceptable Use

You agree not to use OmniBot to:

Violation of acceptable use may result in immediate account termination without refund.

7. Intellectual Property

OmniBot IP: All software, interfaces, designs, trademarks, and content comprising OmniBot are owned by OmniServe Texas LLC and protected by applicable intellectual property laws.

Your content: You retain ownership of all content and business information you provide to configure your bot. By providing this content, you grant us a limited license to use it solely to provide the OmniBot service to you.

Agency plan: Agency plan subscribers may white-label OmniBot under their own brand for resale to their clients, subject to these terms.

8. AI & Third-Party Services

OmniBot uses the following third-party services:

AI Disclaimer: OmniBot responses are generated by AI and may occasionally be inaccurate, incomplete, or inappropriate. You are responsible for reviewing your bot's responses and ensuring they are accurate for your business. OmniServe Texas LLC is not liable for AI-generated errors.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNISERVE TEXAS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OMNIBOT SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

OMNIBOT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Termination

We may suspend or terminate your account immediately, without notice, if:

You may terminate your account at any time by cancelling your subscription through the billing portal.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be resolved through binding arbitration in Houston, Harris County, Texas, in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of OmniBot after changes take effect constitutes acceptance of the new Terms.
