1. Parties & Agreement

This agreement is between OmniServe Texas LLC ("Company," "we," "us," or "our"), a Texas limited liability company located in Houston, Texas, and you ("Customer," "you," or "your").

By creating an account, clicking "I Agree," entering payment information, or using OmniBot in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are using OmniBot on behalf of a business entity, you represent that you have authority to bind that entity to these terms.

2. Service Description

OmniBot is a Software-as-a-Service (SaaS) AI-powered chat assistant platform that allows businesses to deploy conversational AI on their websites. OmniBot is powered by the Anthropic Claude AI API and provides:

• AI-powered chat widget embeddable on any website
• Automated lead capture and CRM integration
• Multi-language support (17 languages)
• Analytics dashboard and conversation management
• Booking and appointment integration
• White-label options (Agency plan)

3. Free Trial Terms

• Trial period is 7 calendar days from the date of account creation
• Full access to all features of your selected plan during the trial
• You may cancel at any time during the trial without being charged
• If you do not cancel before the trial ends, your card will be automatically charged the monthly subscription fee
• Trial is available to new customers only — one trial per person, email address, and business
• We reserve the right to modify or discontinue trial offers at any time
• We will send a reminder email at Day 5 and Day 6 of your trial notifying you of upcoming charges

4. Payment & Billing

OmniBot subscriptions are billed on a recurring monthly or annual basis. By providing payment information, you authorize OmniServe Texas LLC to charge your payment method automatically.

• Monthly plans: Charged every 30 days from your subscription start date
• Annual plans: Charged once per year at the discounted annual rate
• Price changes: We will provide 30 days notice before any price increases
• Failed payments: If a payment fails, we will retry 3 times over 7 days before suspending your account
• Taxes: Prices are exclusive of applicable taxes. You are responsible for all taxes applicable in your jurisdiction
• Currency: All prices are in US Dollars (USD)

Payments are processed securely by Stripe, Inc. OmniServe Texas LLC does not store your full credit card information. By using our payment services, you also agree to Stripe's Terms of Service at stripe.com/legal.

5. Cancellation & Refunds

• Cancel anytime: You may cancel your subscription at any time through your billing portal or by emailing info@omniservetexas.com
• No pro-rated refunds: Cancellation takes effect at the end of the current billing period. We do not offer pro-rated refunds for unused time
• Annual plans: Annual subscriptions may be refunded within 14 days of purchase if you have not used the service
• Trial cancellation: Cancellations during the 7-day trial period result in no charge
• Data retention: Upon cancellation, your data will be retained for 30 days and then permanently deleted

6. Acceptable Use

You agree not to use OmniBot to:

• Violate any applicable law or regulation
• Engage in deceptive, fraudulent, or misleading practices
• Collect sensitive personal information (social security numbers, passwords, payment card numbers) through the chat interface
• Impersonate any person, company, or government entity
• Harass, threaten, or harm any person
• Distribute spam, malware, or unsolicited communications
• Circumvent usage limits or share accounts between multiple businesses
• Resell OmniBot without an Agency plan subscription
• Use OmniBot for any illegal purpose including but not limited to fraud, money laundering, or unlicensed professional services

Violation of acceptable use may result in immediate account termination without refund.

7. Intellectual Property

OmniBot IP: All software, interfaces, designs, trademarks, and content comprising OmniBot are owned by OmniServe Texas LLC and protected by applicable intellectual property laws.

Your content: You retain ownership of all content and business information you provide to configure your bot. By providing this content, you grant us a limited license to use it solely to provide the OmniBot service to you.

Agency plan: Agency plan subscribers may white-label OmniBot under their own brand for resale to their clients, subject to these terms.

8. AI & Third-Party Services

OmniBot uses the following third-party services:

• Anthropic Claude API: Powers the AI conversation engine. Conversations may be processed by Anthropic's systems. See Anthropic's privacy policy at anthropic.com/privacy
• Stripe: Payment processing. See stripe.com/privacy
• Airtable: Optional CRM data storage. See airtable.com/privacy
• Resend: Email delivery. See resend.com/privacy

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNISERVE TEXAS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OMNIBOT SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

OMNIBOT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Termination

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms of Service
• You engage in fraudulent activity
• Your payment fails and is not resolved within 7 days
• We are required to do so by law

You may terminate your account at any time by cancelling your subscription through the billing portal.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be resolved through binding arbitration in Houston, Harris County, Texas, in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of OmniBot after changes take effect constitutes acceptance of the new Terms.
